BLAW 320 Legal Environment of Organizations

The behavior of organizations and people in organizations is influenced in a variety of ways by the Constitution, state and federal legislation, regulations by all levels of government, by judicial opinions and by ethical considerations. This course explores selected aspects of the legal environment, including antitrust and fair trade laws, the law of contracts, laws and regulations concerning the workplace and workplace behavior, environmental protections, and ethical standards. Issues relating to franchising and trading in securities are also addressed within the context of the law and ethics.

Learning outcomes

General

  • To explain the ways in which the U.S. legal system is organized and operates, including alternative dispute resolution, ethics, and business decision making.
  • To understand the concepts, principles, rules of law, and ethical considerations pertaining to the legal environment in which businesses function.
  • To differentiate the sources of law, including constitutional law, common law, statutory law, and administrative law.
  • To identify the elements required to form an enforceable contract, including when a contract must be in writing, the consequences of breaching a contract, and the effect of the Uniform Commercial Code on contracts.
  • To analyze legal issues concerning contract law, tort law, employment law, consumer law, environmental law and other laws that commonly confront businesses.
  • To brief a case.
